Why Henan

A central province with a working economy

Henan is one of China's most populous provinces and a long-established base for agriculture, food processing and manufacturing. Its central position makes it a natural staging point for goods moving between coastal ports and inland markets.

Logistics & trade

Zhengzhou as a freight and transport node

Zhengzhou is a major rail and road junction, and the Zhengzhou Airport Economy Zone (ZAEZ) has developed around air cargo and cross-border trade activity. For businesses importing, distributing or moving goods within China, the province's transport links are often the practical reason to look here.

Beyond Zhengzhou, cities such as Luoyang (equipment manufacturing) and Kaifeng and Xinxiang (food processing and consumer goods) form a wider industrial base across the province.

Sector profile

Manufacturing, agriculture, logistics, electronics assembly and food processing are all well represented. Henan's economy is closely tied to domestic supply chains as well as export activity.

Entity options

Structures for foreign investment in mainland China

Foreign investors setting up in Henan generally choose between a wholly foreign-owned enterprise, a joint venture, or a representative office. Each has different implications for control, scope of activity and ongoing compliance.

Option 1

Wholly Foreign-Owned Enterprise (WFOE)

A limited liability company owned entirely by the foreign investor. It is the most common structure for businesses that intend to trade, invoice customers and employ staff in China.

  • Full ownership and control by the foreign investor
  • Can carry out permitted business activities and hire local employees
  • Requires registered capital, a registered address and a defined business scope
  • Ongoing accounting, tax and annual reporting obligations
Option 2

Joint venture (JV)

A company formed with one or more Chinese or foreign partners. Often chosen where a local partner brings market access, land, licences or sector knowledge.

  • Shared ownership, governance and profit according to the JV agreement
  • Useful where local relationships or sector access are essential
  • Requires careful drafting of the joint venture contract and articles
  • Decision-making and exit terms should be agreed early
Option 3

Representative office (RO)

A liaison office that supports a parent company's activities in China. It is not a separate trading entity and has a narrower permitted scope.

  • Suitable for market research, liaison and coordination
  • Cannot generally engage in direct revenue-generating business on its own account
  • Subject to its own registration and reporting requirements
  • Often a first step before establishing a WFOE or JV

Note on Hong Kong, Macau and Taiwan: companies and residents of Hong Kong, Macau and Taiwan are subject to the local company formation regime of those jurisdictions for entities formed there. This page describes mainland China structures (WFOE, JV and representative office) and does not present them as the law of Hong Kong, Macau or Taiwan.

How it works

A four-step registration path

The exact sequence and timelines depend on the business scope, the district and the authorities involved. The outline below shows the typical stages.

  1. Plan and structure

Confirm the entity type, business scope, registered capital and location in Henan. Decide whether a Zhengzhou address, an industrial park or another city suits your activity.

  2. Prepare and file

Assemble the investor documents, draft the articles of association and submit the application for name approval and business registration through the relevant market supervision authority.

  3. Licences and accounts

Complete company seal carving, open the bank account, register for tax and, where required, obtain sector-specific licences or permits.

  4. Operate and comply

Set up bookkeeping, invoicing and annual reporting. Ongoing compliance — tax filings, statutory reports and any licence renewals — continues after registration.
